End User License Agreement

Overview

This End User License Agreement ("EULA") is a binding agreement between you ("you" or the "end user") and Gianpiero Vecchi, trading as DingBit("we", "us", or "DingBit"), governing your use of the DingBit mobile application and any related services (collectively, the "App").

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not use the App.

This EULA is concluded between you and DingBit only, and not with Apple Inc. DingBit, not Apple, is solely responsible for the App and its content.

1. Scope of License

DingBit grants you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded device that you own or control, and as permitted by the Apple Media Services Terms and Conditions and the Usage Rules set forth in the App Store Terms of Service.

You may not:

  • Copy, modify, reverse-engineer, decompile, or disassemble the App, except as permitted by applicable law;
  • Rent, lease, lend, sell, redistribute, or sublicense the App;
  • Remove, alter, or obscure any proprietary notices contained in the App.

The license is personal to you and does not allow use on devices you do not own or control.

2. Subscriptions and In-App Purchases

The App may offer optional paid features through auto-renewable subscriptions and one-time in-app purchases. All purchases are processed by Apple through your App Store account.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the price disclosed on the paywall, unless cancelled at least 24 hours before the end of the current period. Your App Store account will be charged for renewal within 24 hours prior to the end of the current period.

Managing and Cancelling

You can manage or cancel your subscription at any time from your App Store account settings (Settings → [your name] → Subscriptions on iOS). Cancellation takes effect at the end of the current billing period; no partial refunds are issued for the unused portion of a period.

Refunds

Refunds are handled by Apple in accordance with the Apple Media Services Terms and Conditions. DingBit does not process payments directly and cannot issue refunds. You may request a refund at reportaproblem.apple.com.

Price Changes

We may change subscription prices from time to time. Any price change will take effect at the start of the next billing period after notice is provided, in accordance with Apple's policies. Continued use of the subscription after a price change constitutes acceptance of the new price.

3. Maintenance and Support

DingBit is solely responsible for providing any maintenance and support for the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

4. Warranty

DingBit is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you.

To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be DingBit's sole responsibility.

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent required by applicable law.

5. Product Claims

DingBit, not Apple, is responsible for addressing any claims relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

6. Intellectual Property

You acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, DingBit, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

All content within the App, including software, graphics, text, and trademarks, is owned by DingBit or its licensors and is protected by applicable intellectual property laws.

7. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third-Party Terms

You agree to comply with any applicable third-party terms of agreement when using the App (for example, your wireless data service agreement).

10. Apple as Third-Party Beneficiary

You and DingBit acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into this EULA by reference.

Termination

This EULA remains in effect until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall DingBit be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the App.

DingBit's total liability to you for any claims arising out of or relating to the App or this EULA shall not exceed the amount you paid to us (through Apple) in the twelve (12) months preceding the claim.

Governing Law

This EULA is governed by the laws of Italy, without regard to its conflict-of-law provisions. This choice of law does not deprive you of the protection of mandatory consumer-protection rules in your country of residence.

Changes to This EULA

We may update this EULA from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the App after the changes take effect constitutes acceptance of the revised EULA.
